These Terms of Service ("Terms") govern your access to and use of all programs, services, training sessions, events, digital content, communications, and related offerings (collectively, the "Services") provided by Kaizen Canine LLC ("Kaizen Canine," "we," "our," or "us"). By enrolling in, paying for, or otherwise accessing any Service, you ("Client") agree to be bound by these Terms in their entirety. If you do not agree, do not access or use our Services.

Kaizen Canine reserves the right to update or modify these Terms at any time. Continued use of our Services following notice of any change constitutes your acceptance of the revised Terms.

1. Eligibility and Authority

You must be at least 18 years of age to access or purchase our Services. By agreeing to these Terms, you represent that you are legally authorized to enter into a binding contract. If enrolling on behalf of another individual or entity, you represent that you have full authority to bind that person or entity.

Kaizen Canine reserves the right to refuse service to any individual at our sole discretion, including but not limited to individuals who have previously violated these Terms, engaged in abusive conduct toward our staff, or whose dogs pose a safety risk to others.

2. Program Enrollment and Payment

2.1 Enrollment

Enrollment in any Kaizen Canine program (including Live & Train Retreat, Day Train, 14-Day Challenge, 1-on-1 Coaching, or Board & Train) is not confirmed until a deposit or full payment has been received and you have received written confirmation from Kaizen Canine.

2.2 Payment

All fees are due as stated in your program agreement or invoice. Kaizen Canine reserves the right to modify pricing at any time with reasonable notice. Non-payment or failed payment may result in suspension or cancellation of Services without liability to Kaizen Canine.

2.3 No Refund Policy

ALL SALES ARE FINAL. Kaizen Canine does not offer refunds once a program has commenced. Deposits are non-refundable. In the event that Kaizen Canine is unable to fulfill a program due to circumstances within our control, we will offer a credit or rescheduling at our discretion. No refunds will be issued for missed sessions, early withdrawals, behavioral setbacks, or dissatisfaction with results.

Client acknowledges that dog training outcomes depend heavily on the consistent application of training techniques by the owner and the individual temperament of the dog. Kaizen Canine does not guarantee specific behavioral outcomes.

3. Cancellations and Rescheduling

Cancellations must be submitted in writing at least 72 hours prior to a scheduled session. Sessions cancelled with less than 72 hours' notice may be forfeited without credit at Kaizen Canine's discretion. Kaizen Canine reserves the right to reschedule or cancel sessions due to trainer illness, emergency, weather, or other circumstances beyond our control without liability.

Repeated no-shows or late cancellations may result in termination of your program without refund.

4. Assumption of Risk and Release of Liability

DOG TRAINING INVOLVES INHERENT RISKS, INCLUDING BUT NOT LIMITED TO ANIMAL BITES, SCRATCHES, PROPERTY DAMAGE, AND OTHER PHYSICAL HARM. BY ENROLLING IN ANY KAIZEN CANINE SERVICE, CLIENT VOLUNTARILY ASSUMES ALL SUCH RISKS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLIENT HEREBY RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE KAIZEN CANINE LLC, ITS OWNERS, TRAINERS, EMPLOYEES, AGENTS, AND ASSIGNS (COLLECTIVELY, "RELEASED PARTIES") FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, ACTIONS, OR CAUSES OF ACTION ARISING OUT OF OR RELATED TO ANY LOSS, DAMAGE, INJURY, OR DEATH CAUSED BY OR RELATED TO CLIENT'S DOG OR THE TRAINING SERVICES PROVIDED.

This release applies regardless of whether such harm is caused by the negligence of the Released Parties.

5. Client Responsibilities

Client agrees to:

  • Disclose any known behavioral history, including bite history, aggression, fear responses, or medical conditions, prior to enrollment.
  • Ensure their dog is current on all required vaccinations (including rabies, distemper, and Bordetella) and provide proof upon request.
  • Arrive on time for all scheduled sessions and actively participate in the training process as directed.
  • Follow all safety instructions provided by Kaizen Canine trainers.
  • Ensure their dog is properly licensed and in compliance with all applicable Broward County, Florida laws and ordinances.

Failure to disclose a bite history or known aggression prior to enrollment constitutes a material misrepresentation and may result in immediate termination of services without refund. Client shall be solely liable for any injury or damage caused by their dog during or in connection with Kaizen Canine services.

6. Indemnification

Client agrees to indemnify, defend, and hold harmless Kaizen Canine, its owners, trainers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Client's use of the Services;
  • Client's breach of these Terms;
  • Any act or omission by Client's dog;
  • Any misrepresentation made by Client;
  • Client's violation of any applicable law or third-party right.

This indemnification obligation survives termination of the client relationship.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KAIZEN CANINE'S TOTAL LIABILITY TO CLIENT FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO KAIZEN CANINE IN THE NINETY (90) DAYS PRECEDING THE CLAIM. KAIZEN CANINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR EMOTIONAL DISTRESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Media and Intellectual Property

8.1 Client Media Consent

By enrolling in any Kaizen Canine program, Client grants Kaizen Canine a perpetual, royalty-free, worldwide license to photograph, film, and record Client and Client's dog during training sessions. Kaizen Canine may use such content for marketing, educational, and promotional purposes across all media channels including but not limited to YouTube, Instagram, TikTok, and Facebook.

Client may opt out of media capture by submitting a written request prior to their first session. Opting out will not affect program enrollment or pricing.

8.2 Training Materials

All training methods, curricula, handouts, videos, digital content, and other materials provided by Kaizen Canine are proprietary and protected by applicable intellectual property laws. Client may not reproduce, distribute, sell, or sublicense such materials without prior written consent from Kaizen Canine.

9. SMS Messaging Terms & Compliance

9.1 Program Description

Kaizen Canine LLC operates an SMS messaging program to communicate with clients who have explicitly opted in to receive text message notifications. Opt-in is collected via web forms with a dedicated checkbox for SMS consent. Messages you may receive include:

  • Appointment confirmations and reminders
  • Rescheduling updates and cancellation notices
  • Program updates and training check-ins
  • Customer support communications
  • Promotional offers and announcements from Kaizen Canine

9.2 Cancellation

You can cancel SMS messages at any time. Reply STOP to any text message from us to unsubscribe. Upon sending STOP, we will confirm your unsubscribe status via SMS. You will receive no further messages unless you opt back in.

9.3 Support

9.4 Rates & Carrier Liability

Message and data rates may apply. Check with your wireless carrier for details. Message frequency varies based on your service usage and appointment schedule. Carriers are not liable for delayed or undelivered messages.

9.5 Supported Carriers

Our SMS program works with all major U.S. wireless carriers including AT&T, T-Mobile, Verizon, and most regional carriers.

9.6 Age Restriction

You must be 18 years or older to participate in our SMS program.

9.7 TCPA Compliance

Kaizen Canine complies with all applicable laws and regulations regarding SMS communications, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines.

10. Website Terms of Use

This website (the "Site") is owned and operated by Kaizen Canine LLC. By accessing or using the Site in any manner, whether automated or otherwise, you agree to be bound by these Terms. We reserve the right to update these Terms at any time. Continued use of the Site after any such changes constitutes your acceptance of the revised Terms.

11. Registration & Account Security

To access certain features of the Site or Services, you may be required to register and create an account. You agree to provide accurate, current, and complete information during registration and to maintain the confidentiality of your login credentials. You are responsible for all activity conducted under your account. If you suspect unauthorized use of your account, notify us immediately at hello@kaizencanine.com. Kaizen Canine is not liable for any loss or damage arising from your failure to maintain account security.

12. Online Commerce & Third-Party Vendors

Certain sections of the Site may allow you to purchase products or services from third-party vendors. Kaizen Canine is not responsible for the quality, accuracy, timeliness, or reliability of any third-party products or services. Any dealings with third-party vendors are solely between you and that third party. Kaizen Canine shall not be responsible for any loss or damage incurred as a result of such dealings.

13. Privacy Policy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, and protect your personal information, including data collected via cookies and tracking technologies on our website. 14. Confidentiality

Client agrees to keep confidential all proprietary training techniques, systems, pricing structures, and business information disclosed by Kaizen Canine. Client may not share, publish, or commercialize such information without prior written consent.

15. Termination of Services

Kaizen Canine reserves the right to terminate or suspend services immediately, without refund, if:

  • Client or Client's dog poses a safety risk to trainers, other dogs, or third parties.
  • Client engages in abusive, threatening, or disrespectful conduct toward Kaizen Canine staff.
  • Client fails to comply with trainer instructions or these Terms.
  • Client fails to make required payments.

Kaizen Canine's decision to terminate services is final and non-appealable.

16. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration in Broward County, FL in accordance with the rules of the American Arbitration Association ("AAA"). Each party shall bear its own costs unless otherwise ordered by the arbitrator.

YOU AND KAIZEN CANINE WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. CLASS ACTION PROCEEDINGS ARE NOT PERMITTED.

Any claim must be filed within one (1) year of the date the cause of action arose, after which such claim is permanently barred.

17. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and shall not affect the validity or enforceability of the remaining provisions.

18. Entire Agreement

These Terms, together with any program-specific agreements or addenda, constitute the entire agreement between Client and Kaizen Canine and supersede all prior negotiations, representations, warranties, or agreements. No waiver of any provision shall be effective unless made in writing and signed by an authorized representative of Kaizen Canine.
